These Terms of Service (the "Terms") govern your access to and use of https://www.azurea.ai, related pages, forms, content, and online features that link to these Terms (collectively, the "Site"). The Site is operated by Azurea Digital, LLC, a Florida limited liability company based in Miami Beach, Florida ("Azurea," "we," "us," or "our").

Azurea is a digital marketing and AI strategy agency serving primarily business clients. We provide information about our services through the Site, including marketing strategy, search engine optimization, paid media, website and landing page support, email marketing, analytics, creative production, AI-enabled workflows, automation, consulting, training, and related business services.

Please read these Terms carefully. By accessing or using the Site, submitting a form, requesting a consultation, downloading materials, or otherwise interacting with the Site, you agree to these Terms. If you do not agree, do not use the Site.

#1. Relationship to Client Agreements

These Terms govern use of the public Site. They do not replace a signed proposal, statement of work, master services agreement, data processing agreement, business associate agreement, nondisclosure agreement, or other written agreement between Azurea and a client.

If Azurea enters into a written agreement with you or your organization for professional services, that written agreement will control the services covered by it. If there is a conflict between these Terms and a signed client agreement, the signed client agreement will control for that engagement.

#2. Eligibility and Business Use

The Site is intended for users who are at least 18 years old and who are using the Site for business, professional, or informational purposes. By using the Site on behalf of a company or other organization, you represent that you have authority to act for that organization, and references to "you" include both you and that organization.

You may not use the Site if your use would violate these Terms, applicable law, or any rights of Azurea or another person.

#3. Site Content Is Informational

The Site may include service descriptions, articles, case-study-style examples, marketing commentary, AI-related observations, creative concepts, FAQs, forms, videos, downloads, or other informational content. Site content is provided for general business and informational purposes only.

The Site does not provide legal, financial, medical, tax, investment, employment, or other regulated professional advice. You should consult appropriate professionals before relying on any information for regulated, high-risk, or legally sensitive decisions.

#4. No Guarantee of Marketing, AI, or Business Results

Azurea works to provide thoughtful strategy and high-quality services, but marketing, advertising, search, social media, website, AI, and automation outcomes depend on many factors outside our control. These factors may include your industry, offer, budget, competition, audience behavior, platform changes, data quality, website performance, product-market fit, internal execution, approvals, market conditions, and third-party algorithms.

Unless Azurea expressly agrees otherwise in a signed written agreement, we do not guarantee rankings, ad performance, lead volume, revenue, profitability, conversion rates, follower growth, AI-output accuracy, automation uptime, model performance, or any other specific business result.

#5. Consultations, Proposals, and Scope of Work

Submitting a form, scheduling a call, requesting a proposal, or discussing a potential project does not create a client relationship, fiduciary relationship, agency relationship, partnership, or obligation for Azurea to provide services. Azurea may accept or decline any project in its discretion.

A professional-services relationship begins only when Azurea and the client enter into a written agreement or otherwise mutually agree in writing to the applicable scope, fees, responsibilities, timeline, and other service terms.

#6. User Submissions

You may submit information through the Site, email, calls, forms, intake questionnaires, or other communication channels (collectively, "Submissions"). You are responsible for ensuring that your Submissions are accurate, lawful, and authorized.

You should not submit confidential, proprietary, sensitive, regulated, or personal information unless it is necessary for the purpose of your communication and you are authorized to provide it. You should not submit protected health information, payment-card details, government identification numbers, account passwords, or other sensitive information through general website forms.

By providing Submissions, you grant Azurea a non-exclusive right to use, review, store, reproduce, and disclose them as reasonably necessary to respond to you, evaluate a project, provide services, operate the Site, protect our rights, and comply with applicable law. Our handling of personal information is described in our Privacy Policy.

#7. Client Materials and Permissions

If you provide logos, images, copy, data, advertising accounts, website access, analytics properties, customer lists, brand assets, product information, or other materials to Azurea in connection with a project, you represent that you have the rights, permissions, consents, and authority necessary for Azurea to use those materials as contemplated by the project.

Unless a written agreement states otherwise, you remain responsible for the accuracy, legality, completeness, and suitability of materials, claims, offers, pricing, testimonials, disclosures, and approvals that you provide or authorize.

#8. Acceptable Use

You agree not to misuse the Site. Prohibited conduct includes attempting to interfere with Site security, scraping or harvesting data without authorization, submitting malicious code, using automated systems to overload the Site, impersonating another person, violating intellectual-property rights, submitting unlawful or misleading information, or using the Site in a way that could damage Azurea, our users, vendors, or third parties.

You also agree not to use the Site or Azurea's content to train, fine-tune, benchmark, or develop artificial intelligence models or datasets without Azurea's prior written permission, except where such restriction is not permitted by applicable law.

#9. Intellectual Property

The Site and its content, including text, graphics, logos, layouts, service descriptions, design elements, videos, downloads, frameworks, templates, and other materials, are owned by Azurea or our licensors and are protected by intellectual-property and other laws.

Subject to your compliance with these Terms, Azurea grants you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for your internal business or informational use. You may not copy, modify, distribute, publicly display, sell, license, create derivative works from, or exploit Site content without Azurea's prior written permission, except as allowed by applicable law.

All Azurea names, logos, marks, and branding are the property of Azurea Digital, LLC or our licensors. You may not use them without prior written permission.

#10. Third-Party Services and Links

The Site may include links to third-party websites or integrate with third-party tools, such as analytics platforms, advertising platforms, social networks, scheduling tools, forms, video platforms, payment processors, CRM tools, hosting providers, or other services. Third-party services are governed by their own terms and privacy policies.

Azurea does not control and is not responsible for third-party websites, platforms, content, availability, security, privacy practices, or performance. Your use of third-party services is at your own risk.

#11. AI-Enabled Content and Tools

Azurea's work and Site content may discuss or use artificial intelligence, automation, generative tools, machine-learning systems, analytics models, or related technologies. AI-enabled tools can produce inaccurate, incomplete, biased, outdated, or unsuitable outputs, and their performance can change over time.

Unless a signed written agreement states otherwise, any AI-related content on the Site is provided for informational purposes only. You are responsible for reviewing, validating, approving, and legally clearing any AI-assisted output before relying on it or using it in a public, regulated, client-facing, or high-risk context.

#12. Privacy and Cookies

Your use of the Site is also governed by our Privacy Policy and Cookie Policy, which explain how Azurea collects, uses, discloses, and protects personal information and how we use cookies, pixels, analytics, and advertising technologies.

By using the Site, you acknowledge that you have reviewed those policies. Where required by applicable law, we may provide additional notices or choices about cookies, targeted advertising, or privacy rights.

#13. Accessibility

#14. Disclaimers

The Site is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Azurea disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and uninterrupted or error-free operation.

Azurea does not warrant that the Site will be secure, uninterrupted, current, complete, free of harmful code, or compatible with every device, browser, assistive technology, platform, or system. We may change, suspend, or discontinue any part of the Site at any time.

Some jurisdictions do not allow certain disclaimers, so some of the above disclaimers may not apply to you.

#15. Limitation of Liability

To the fullest extent permitted by law, Azurea and its owners, managers, employees, contractors, service providers, and affiliates will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages, or for loss of data, revenue, goodwill, business opportunity, or business interruption, arising out of or relating to the Site or these Terms, even if advised of the possibility of such damages.

To the fullest extent permitted by law, Azurea's total liability for any claim arising out of or relating to the Site or these Terms will not exceed one hundred U.S. dollars (US $100) or the amount you paid Azurea, if any, specifically for access to the Site during the three months before the event giving rise to the claim, whichever is greater.

This limitation does not limit liability that cannot be limited under applicable law.

#16. Indemnification

You agree to defend, indemnify, and hold harmless Azurea and its owners, managers, employees, contractors, service providers, and affiliates from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to your use of the Site, your Submissions, your violation of these Terms, your violation of law, your infringement or misappropriation of third-party rights, or your misuse of Azurea's content or services.

#17. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Subject to any dispute-resolution terms in a signed written agreement between Azurea and a client, any dispute arising out of or relating to the Site or these Terms will be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to personal jurisdiction and venue in those courts.

#18. Changes to the Site or Terms

Azurea may update the Site and these Terms from time to time. When we update these Terms, we will revise the "Last Updated" date above. Changes are effective when posted unless a later effective date is stated. Your continued use of the Site after changes are posted means you accept the updated Terms.

#19. Termination or Restriction of Access

Azurea may restrict, suspend, or terminate access to the Site, in whole or in part, at any time and without notice if we believe your use violates these Terms, creates risk, infringes rights, violates law, or is otherwise harmful to Azurea or others.

#20. Severability; No Waiver

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable where permitted by law. Azurea's failure to enforce a provision is not a waiver of our right to enforce it later.
